Permanent Recruitment Services
These Terms of Business apply between Rare Executives Limited ("Rare Executives") and the Client in relation to the introduction of candidates for permanent employment.

1. INTRODUCTION OF CANDIDATES
Rare Executives Limited will introduce Candidates to the Client for employment.

If the Client, or any associated company, employs or engages a Candidate introduced by Rare Executives, the fees set out below shall become payable.

2. FEES
Rare Executives Limited fees are based upon the Candidate's first-year compensation.

Compensation includes:
- Base salary
- Guaranteed bonus
- Guaranteed commission
- Guaranteed allowances
Fee Structure

First Year Compensation Fee
Up to 99,000 25%
99,001 – 199,000 30%
Above 199,000 35%

 

- Minimum fee per Candidate: 20,000
- Administration fee per Candidate: 2,500

For the avoidance of doubt, compensation shall include base salary, guaranteed bonus, guaranteed commission and guaranteed allowances.

3. PAYMENT TERMS
Invoices are payable within thirty (30) days of the Candidate's start date.

4. ASSOCIATED COMPANIES
A fee shall be payable where a Candidate introduced by Rare Executives Limited is employed or engaged by:

- The Client;
- Any parent company;
- Any subsidiary;
- Any affiliate; or
- Any associated company connected with the Client.

5. CONFIDENTIALITY
Information relating to Candidates supplied by Rare Executives Limited is strictly confidential and may only be used for the purpose of evaluating the Candidate for employment.

The Client shall not disclose such information to any third party without the prior written consent of Rare Executives Limited.

6. REPLACEMENT GUARANTEE
Should the Candidate voluntarily resign or have their employment terminated for performance reasons within ninety (90) days of commencing employment, Rare Executives Limited will conduct a replacement search at no additional professional fee.

This guarantee applies provided:

- The original invoice has been paid in full;
- Rare Executives Limited is notified within fourteen (14) days of the Candidate's departure; and
- The position and compensation package remain substantially unchanged.

7. ACCEPTANCE
These Terms of Business shall be deemed accepted by the Client upon the earliest of:

a) Signature of these Terms;
b) Interview of a Candidate introduced by Rare Executives Limited;
c) Request for additional information regarding a Candidate introduced by Rare Executives Limited;
d) Submission of a Candidate by Rare Executives Limited to any manager, employee, affiliate or representative of the Client; or
e) Employment or engagement of a Candidate introduced by Rare Executives Limited by the Client or any associated company.

8. LATE PAYMENT
Any overdue invoices may accrue interest at the statutory rate applicable under the laws of England and Wales.

9. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of England and Wales.

10. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties in relation to the introduction of Candidates and supersede any prior discussions, correspondence, understandings or agreements relating to such introductions.
